Welcome to Bali Exclusivo. These Terms & Conditions govern your use of our website and the purchase of products and services offered by Bali Exclusivo.

By accessing our website, submitting an inquiry, requesting a quotation, placing an order, or purchasing products from us, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.

1. About Bali Exclusivo

Bali Exclusivo is an Indonesia-based business specializing in the sourcing, manufacturing, production, wholesale, and international export of furniture, home decor, lighting, natural stone products, and related products.

Our products are primarily supplied to professional customers, including wholesalers, retailers, importers, hotels, resorts, restaurants, interior designers, architects, and other commercial customers.

2. B2B and Wholesale Business

Bali Exclusivo primarily operates as a B2B wholesale supplier.

Our products and services are intended mainly for professional and commercial customers. Minimum order quantities may apply depending on the product, production requirements, and shipping method.

For international orders, our standard shipping method is generally full-container shipping. We may not process individual retail orders or shipments below our applicable minimum order quantity.

Please contact us before placing an order if you require clarification regarding minimum quantities, container loading, or shipping conditions.

3. Product Information

We make reasonable efforts to ensure that product descriptions, dimensions, materials, photographs, specifications, and other information published on our website are accurate.

However, many of our products are handcrafted and made using natural materials.

Natural materials such as teak wood, suar wood, rattan, jute, marble, onyx, river stone, Bali Green Stone, limestone, terracotta, and other natural materials may naturally vary in:

• Colour

• Grain

• Texture

• Shape

• Veining

• Surface appearance

• Dimensions

• Weight

• Tone and natural markings

Such variations are inherent characteristics of natural and handcrafted products and shall not automatically be considered manufacturing defects.

Product photographs may also show variations in colour or appearance depending on lighting, photography, display settings, and the natural characteristics of the materials.

4. Handmade and Custom-Made Products

Many Bali Exclusivo products are handmade or partially handmade by Indonesian artisans.

Minor differences between individual pieces may therefore occur.

Where products are manufactured according to customer specifications, drawings, measurements, finishes, materials, or approved samples, the customer’s approval constitutes acceptance of those specifications.

Custom-made products may not be cancelled, returned, or exchanged once production has commenced, except where otherwise agreed in writing or where required by applicable law.

5. Product Dimensions and Tolerances

Dimensions stated on quotations, product specifications, drawings, or website pages may be approximate where products are handmade or produced from natural materials.

Reasonable manufacturing tolerances may apply.

For custom production, the final dimensions will be manufactured according to the specifications agreed between Bali Exclusivo and the customer.

If exact dimensions are critical for a project, the customer must communicate the required tolerances before production begins.

6. Quotations and Prices

All quotations issued by Bali Exclusivo are subject to confirmation and may have a limited validity period.

Unless expressly stated otherwise, prices do not include costs that are not specifically included in the quotation.

Depending on the agreed commercial terms, additional costs may include:

• International freight

• Local transportation

• Port charges

• Customs duties

• Import taxes

• Destination charges

• Insurance

• Customs clearance

• Storage

• Demurrage or detention

• Other charges imposed by shipping lines, ports, customs authorities, or third-party service providers

The applicable Incoterm and included costs will be specified in the relevant quotation or commercial documentation.

7. Orders and Order Confirmation

An order becomes binding once it has been formally accepted by Bali Exclusivo and the applicable payment requirements have been fulfilled.

Before production begins, customers should carefully review and confirm:

• Product specifications

• Quantities

• Dimensions

• Materials

• Colours and finishes

• Packaging requirements

• Delivery terms

• Shipping conditions

• Payment terms

Any amendments requested after production has started may result in additional costs or changes to the production schedule.

8. Payment Terms

Payment terms will be agreed individually and stated in the relevant quotation, proforma invoice, sales confirmation, or other commercial document.

Production may only begin after the required payment or deposit has been received and confirmed.

Unless otherwise agreed in writing, Bali Exclusivo reserves the right to suspend production, shipment, or delivery if agreed payments are not received on time.

Bank charges, transfer fees, and other payment-related costs may be the responsibility of the customer unless otherwise agreed.

9. Production Time

Estimated production times are provided in good faith based on the information available when the quotation or order is issued.

Production times may vary due to:

• Product complexity

• Order quantity

• Customization

• Material availability

• Artisan production

• Quality control

• Packaging requirements

• Public holidays

• Weather conditions

• Transportation issues

• Other circumstances beyond our reasonable control

Any estimated production period is therefore not a guaranteed delivery date unless expressly agreed in writing.

10. Quality Control

Bali Exclusivo may carry out quality control inspections during or after production.

Where appropriate, customers may request photographs, videos, measurements, or other information regarding completed products before shipment.

For large commercial orders, customers may also arrange an independent inspection at their own cost, subject to prior agreement.

Quality inspections do not eliminate the natural variations inherent in handmade and natural-material products.

11. Packaging

Products are packed according to their nature, material, dimensions, and shipping requirements.

We take reasonable measures to protect products during handling and transportation.

However, packaging requirements may vary depending on the product and shipping method.

Customers requiring specific packaging, labelling, palletization, fumigation, private-label packaging, or other special requirements must communicate these requirements before production or packing begins.

Additional costs may apply.

12. Shipping and Export

Bali Exclusivo can coordinate international shipping and export-related services depending on the order and agreed commercial terms.

Shipping may involve third-party companies, including shipping lines, freight forwarders, transport companies, customs agents, ports, and other logistics providers.

Once goods have been handed over to the relevant carrier or logistics provider, certain aspects of transportation are outside Bali Exclusivo’s direct control.

Shipping schedules, vessel departures, transit times, arrival dates, port operations, and customs clearance may be affected by circumstances beyond our control.

Unless expressly agreed otherwise, estimated shipping dates and arrival dates are not guaranteed.

13. Incoterms

Where applicable, international sales may be conducted under an agreed Incoterm, such as FOB or another Incoterm specified in the commercial documentation.

The applicable Incoterm shall determine the allocation of costs, responsibilities, risks, and obligations between Bali Exclusivo and the customer.

The Incoterm stated in the quotation, proforma invoice, sales contract, or other agreed commercial document shall prevail.

14. Import Duties, Taxes and Customs

Unless expressly included in the agreed commercial terms, the customer is responsible for:

• Import duties

• VAT or similar taxes

• Customs clearance

• Destination charges

• Local port charges

• Customs broker fees

• Import permits

• Compliance with destination-country regulations

• Any other charges arising in the destination country

The customer is responsible for ensuring that the products can legally be imported into the destination country.

15. Container Loading

For container shipments, products may be loaded according to the agreed loading plan and available container capacity.

Natural variations in product dimensions and packaging may affect the final number of pieces that can be loaded.

Unless a specific loading quantity has been expressly guaranteed in writing, estimated container capacities are indicative only.

16. Damage During Transportation

Customers should inspect products and packaging upon receipt.

Where products are damaged during international transportation, the customer should notify the relevant carrier, freight forwarder, insurer, or responsible logistics provider as soon as possible and follow the applicable claims procedure.

Where appropriate, Bali Exclusivo will reasonably assist the customer with documentation or information required to support a transportation claim.

17. Claims and Product Defects

Any claim concerning defective, damaged, missing, or incorrect products should be communicated to Bali Exclusivo as soon as reasonably possible after receipt.

Claims should include sufficient evidence, such as:

• Photographs

• Videos

• Product references

• Quantity affected

• Description of the issue

• Packaging condition

• Shipping or container information

Natural characteristics of wood, stone, rattan, jute, terracotta, and other handmade or natural materials do not automatically constitute defects.

Where a confirmed manufacturing defect or incorrect product is attributable to Bali Exclusivo, we will assess the claim and determine an appropriate solution, which may include replacement, repair, credit, deduction, or another remedy agreed between the parties.

18. Returns and Cancellations

Because many Bali Exclusivo products are manufactured or prepared specifically for professional orders, returns and cancellations may be subject to specific conditions.

Custom-made, personalized, production-order, or specially sourced products may not be eligible for cancellation or return once production or preparation has commenced, except where otherwise agreed in writing or required by applicable law.

Any cancellation request must be submitted in writing.

If cancellation is accepted, the customer may be responsible for costs already incurred, including materials, labour, production, customization, packaging, transportation, and other related expenses.

19. Product Use and Installation

The customer is responsible for ensuring that products are suitable for their intended use and installation environment.

For outdoor products, the customer should ensure that the selected material, finish, treatment, and product specification are appropriate for the intended climate and exposure.

Where installation, assembly, electrical connection, structural fixing, or professional fitting is required, the customer is responsible for ensuring that installation is carried out by appropriately qualified professionals.

Bali Exclusivo shall not be responsible for damage resulting from incorrect installation, improper use, unauthorized modification, inadequate maintenance, or use outside the intended purpose of the product.

20. Outdoor Products and Natural Materials

Products intended for outdoor use may require appropriate finishes, treatments, maintenance, and environmental protection.

Natural materials will naturally weather over time when exposed to sunlight, rain, humidity, salt air, temperature changes, or other environmental conditions.

Unless expressly specified in writing, no guarantee is made that the original appearance of a natural material will remain unchanged when exposed to outdoor conditions.

Customers should request the appropriate outdoor specification and treatment before placing an order if products will be used outdoors.

21. Intellectual Property

All content published on the Bali Exclusivo website, including text, photographs, graphics, logos, product descriptions, designs, trademarks, and other materials, is protected by applicable intellectual property laws unless otherwise stated.

You may not reproduce, copy, modify, distribute, publish, sell, or commercially exploit our website content without prior written permission.

Where a customer provides designs, drawings, images, specifications, or other intellectual property for custom production, the customer represents that they have the necessary rights and permissions to use such materials.

22. Website Information

We make reasonable efforts to keep the information on our website accurate and up to date.

However, we do not guarantee that all website content will always be complete, accurate, current, or free from typographical or technical errors.

Product availability, specifications, prices, photographs, and other information may change without prior notice.

23. Third-Party Services

Bali Exclusivo may use third-party providers for services including:

• Shipping and freight

• Customs clearance

• Logistics

• Communication

• Analytics

We are not responsible for delays, failures, or losses caused directly by third-party providers where such circumstances are outside our reasonable control.

24. Limitation of Liability

To the maximum extent permitted by applicable law, Bali Exclusivo shall not be liable for indirect, incidental, consequential, or special losses arising from the use of our website, products, or services.

This may include, without limitation, loss of profits, loss of business opportunities, loss of revenue, delays, or other consequential commercial losses.

Nothing in these Terms & Conditions shall exclude or limit liability where such exclusion or limitation is prohibited by applicable law.

Bali Exclusivo shall not be responsible for delays or failures caused by circumstances beyond our reasonable control.

Such circumstances may include, without limitation:

• Floods

• Severe weather

• Epidemics or pandemics

• Government restrictions

• Changes in laws or regulations

• Strikes

• Labour disputes

• Port closures

• Shipping disruptions

• Container shortages

• Civil unrest

• Other circumstances beyond our reasonable control

Where such circumstances occur, we will make reasonable efforts to inform affected customers and find an appropriate solution.

26. Confidentiality

Commercial information exchanged between Bali Exclusivo and its customers, including quotations, prices, production information, drawings, specifications, and business information, should be treated as confidential where the nature of the information reasonably requires confidentiality.

Neither party shall disclose confidential commercial information to third parties except where necessary to perform the agreed transaction, comply with legal requirements, or obtain professional advice.

27. Privacy

The processing of personal information submitted through our website is governed by our Privacy Policy.

28. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the applicable laws agreed between Bali Exclusivo and the customer in the relevant commercial agreement.

Where a specific sales contract, purchase agreement, or other written commercial agreement exists between the parties, the terms of that agreement shall prevail over these general website Terms & Conditions in the event of a conflict.

29. Changes to These Terms & Conditions

Bali Exclusivo reserves the right to update or modify these Terms & Conditions from time to time.

The latest version will be published on this page and will include the date of the latest revision.

Changes to these Terms & Conditions will not retroactively modify commercial agreements that have already been formally accepted unless otherwise required by law or expressly agreed by the parties.
